1. Subscription to our app

A subscription to our app gives you full access to all parts of it. You can choose a monthly or yearly payment term. Payment will be charged to your iTunes/Google Account at confirmation of purchase.

Subscription automatically renews unless auto-renew is turned off at least 24hours before the end of the current period by going to your iOS/Google Account Settings after purchase. Payment will be charged to your iTunes/Google Account. Any unused portion of free trial period, if offered, will be forfeited when you purchase a subscription. 

 

2. Privacy Policy

3. Intellectual Property Rights

Logos and all designs, texts, graphics, pictures, information and other content (excluding your content) is owned by us or our licensors and it is protected by U.S. and international copyright laws. We grant you a limited license to use itfor its intended purposes.
However, unless we expressly state otherwise, your rights do not include: (i) publicly performing or publicly displaying the Service; (ii) modifying or otherwise making any derivative uses of the Service or any portion thereof; (iii) reverse engineering or accessing the Service in order to build a competitive product or service; or (iv) using the Service other than for its intended purposes. If you do any of this stuff, we may terminate your use of the Service.
All rights not expressly granted to you arereserved by MEGATAPS.COM LLC and other third parties. Anyunauthorized use of any Content or the Service for any purpose isprohibited.

 

4. Hyperlinks and Third Party Content

MEGATAPS.COM LLC makes no claim or representation regarding and accepts no responsibility for third party websites accessible by hyperlink from the Service or websites linking to the Service. When you leave the Service, you should be aware that these Terms and our policies no longer govern.
If there is any content on the Service from you and others, we don't review, verify or authenticate it, and it may include inaccuracies or false information. We make no representations, warranties, or guarantees relating to the quality, suitability, truth, accuracy or completeness of any content contained in the Service. You acknowledge sole responsibility for and assume all risk arising from your use of or reliance on any content.

 

5. Termination

If you breach any of these Terms, we have the right to suspend or disable your access to or use of the Service.

 

6. Disclaimer of Warranties; Limitation of Liability

THE SERVICE AND ANY OTHER SERVICE AND CONTENT INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SERVICE ARE PROVIDED TO YOU ON AN AS IS OR AS AVAILABLE BASIS WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND. WE DISCLAIM ANY AND ALL WARRANTIES AND REPRESENTATIONS (EXPRESS OR IMPLIED, ORAL OR WRITTEN) WITH RESPECT TO THE SERVICE AND CONTENT INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SERVICE WHETHER ALLEGED TO ARISE BY OPERATION OF LAW, BY REASON OF CUSTOM OR USAGE IN THE TRADE, BY COURSE OF DEALING OR OTHERWISE.

IN NO EVENT WILL 22LEARN, LLC BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, INDIRECT, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR ANY OTHER SERVICE AND/OR CONTENT INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SERVICE, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR ARE AWARE OF THE POSSIBILITY OF SUCH DAMAGES. THIS SECTION WILL BE GIVEN FULL EFFECT EVEN IF ANY REMEDY SPECIFIED IN THIS AGREEMENT IS DEEMED TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

You agree to defend, indemnify and hold us harmless from and against any and all costs, damages, liabilities, and expenses (including attorneys' fees, costs, penalties, interest and disbursements) we incur in relation to, arising from, or for the purpose of avoiding, any claim or demand from a third party relating to your use of the Service or the use of the Service by any person using your account, including any claim that your use of the Service violates any applicable law or regulation, or the rights of any third party, and/or your violation of these Terms.Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, the liability of the MEGATAPS.COM LLC parties shall be limited to the fullest extent permitted by law.

 

7. Refunds

If there are any major problems with the service (apps, app purchases or subscriptions) that we are unable to repair within a reasonable period of time, we will authorize the App Store Provider to refund you an amount up to the cost of the relevant purchase. You can also contact the iTunes App Store customer support directly and ask for a refund.

 

8. Governing Law and Dispute Resolution

The validity of these Terms and the rights, obligations, and relations of the parties under these Terms will be construed and determined under and in accordance with the laws of the state of Nevada, without regard to conflicts of law principles.

All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the state of Nevada or another location mutually agreeable to the parties. An award of arbitration may be confirmed in a court of competent jurisdiction.
All parties agree to first attempt to negotiate any disputes informally for at least thirty (30) days before initiating any arbitration.

The PARTIES agree that (i) no arbitration proceeding hereunder whether a CONSUMER DISPUTE or a BUSINESS DISPUTE shall be certified as a class action or proceed as a class action, or on a basis involving claims brought in a purported representative capacity on behalf of the general public, other customers or potential customers or Persons similarly situated, and (ii) no arbitration proceeding hereunder shall be consolidated with, or joined in any way with, any other arbitration proceeding. THE PARTIES AGREE TO ARBITRATE A CONSUMER DISPUTE OR BUSINESS DISPUTE ON AN INDIVIDUAL BASIS AND EACH WAIVES THE RIGHT TO PARTICIPATE IN A CLASS ACTION.

 

9. Change of our policies and terms

Our Terms of Service may change from time to time. If we make any changes to our policies, we will place a notice on our website or applications. Any modifications will take effect immediately. If you continue to use our service, you confirm your acceptance of these modifications.

 

10. Severability

In case any provision in this Indenture or in any Security or coupon shall be held invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.
